Agreement

This Agreement ("Agreement") is made between Wisery CCMA Pte. Ltd. ("Wisery", "us", "we", "our"), a company incorporated in Singapore with UEN 202315122C and its registered office at 160 Robinson Road, #14-04, Singapore 068914, and the individual or entity agreeing to these terms ("Client", "you", "your"). This Agreement establishes the terms and conditions underpinning the provision of coaching services ("Services") by Wisery to you, the Client.

1. Scope of Services
Coaching is a partnership, defined as an alliance and not a legal business partnership, between Wisery and the Client in a thought-provoking and creative process that inspires the client to maximise personal and professional potential. It is designed to facilitate the creation and development of personal, professional, or business goals, and to develop and carry out a strategy and plan for achieving those goals.
The particular services to be provided by Wisery are delineated in the selected Coaching Plan. The scope, number of sessions, and duration of Services are explicitly defined within the context of the respective Coaching Plan you have chosen to subscribe to, ensuring clarity and understanding of the expected deliverables from our end. We reserve the right to make changes or adjustments to these services as deemed necessary and beneficial to the coaching process.

2. Technology Requirements
Client is solely responsible for having and maintaining the necessary computer hardware, software, telecommunications equipment, and internet access to utilise the Services provided. Wisery shall not be responsible for any technical issues encountered on the part of the Client. However, if a technical issue is on our end, we shall strive to rectify it promptly.

3. Procedure for Scheduling
The scheduling of our Services, including its timing and location, will be collaboratively arranged by the Client and Wisery, facilitated by the convenient booking tool provided on Wisery's website and mobile application. Responsibility lies with the Client to initiate all scheduled calls and meetings.
In circumstances where Wisery may be located differently or may opt for an alternate application for a scheduled call, the Client will receive prior notification to ensure seamless communication. This protocol guarantees a smooth, unimpeded flow of our coaching journey, enhancing the overall coaching experience.

4. Fees and Payment Terms
The applicable fees for the Coaching Plan you choose, as well as the corresponding payment terms, are detailed on the respective Coaching Plan page on our website. Prior to subscribing to a Coaching Plan, we urge you to acquaint yourself with these specifics. All prices for our Services are in Singapore dollars and are exclusive of applicable taxes. Payment for our Services is due at the time of booking or as otherwise specified in our Coaching Plans. Your subscription to a Coaching Plan serves as your acknowledgement and acceptance of these payment terms.
In the event of late payment or non-payment, we reserve the right to temporarily suspend or permanently terminate the Services, subject to any applicable laws and regulations. In the event of any discrepancies between this Agreement and our Terms and Conditions, the stipulations of the Terms and Conditions shall take precedence.

We retain the right to adjust our fees or modify our payment terms for our Services at our discretion. Any such changes will be promptly communicated on our website and will be applicable to new subscriptions and renewals from the date of the change onwards. However, any subscriptions active at the time of the change will not be affected until their next renewal cycle.

5. Confidentiality
We place a high priority on the privacy and confidentiality of your information within our professional coaching relationship. The sensitivity of the information you may share with us during our services is fully recognised.
​
This coaching relationship, as well as all information (documented or verbal) that the Client shares with Wisery as part of this relationship, is bound by the principles of confidentiality set forth in the ICF Code of Ethics. However, please be aware that the Wisery-Client relationship is not considered a legally confidential relationship (like the medical and legal professions) and thus communications are not subject to the protection of any legally recognised privilege. We agree not to disclose any information pertaining to the Client without the Client’s written consent. Confidential Information does not include information that:
a. was in our possession prior to its being furnished by the Client;
b. is generally known to the public or in the Client’s industry;
c. is obtained by us from a third party, without breach of any obligation to the Client;
d. is independently developed by us without use of or reference to the Client’s confidential information; or
e. we are required by statute, lawfully issued subpoena, or by court order to disclose;
f. is disclosed to us and as a result of such disclosure the we reasonably believe there to be an imminent or likely risk of danger or harm to the Client or others; and
g. involves illegal activity.
The Client also acknowledges his or her continuing obligation to raise any confidentiality questions or concerns with the Coach in a timely manner

Wisery engages in training and continuing education pursuing and maintaining ICF (International Coach Federation) Credentials. That process requires the names and contact information of all Clients for possible verification by ICF. By signing this agreement, you agree to have only your name, contact information and start and end dates of coaching shared with ICF staff members and other parties involved in this process for the sole and necessary purpose of verifying the coaching relationship, with no personal notes to be shared. According to the ethics of coaching profession, topics may be anonymously and hypothetically shared with other coaching professionals for training, supervision, mentoring, evaluation, and for coach professional development and consultation purposes.

6. Change of Contact Information
Both parties shall promptly inform each other of any change in name, address, email address, or other relevant contact information. This will ensure an uninterrupted and productive coaching relationship.

7. Intellectual Property
The resources provided as part of our Services, which include but are not limited to methodologies, techniques, and educational materials, are the exclusive property of Wisery and are protected under international intellectual property laws. We authorise you, as our valued client, to utilise these resources for your personal growth and development. However, redistribution or replication of these materials, in any form or medium, requires explicit written permission from us at Wisery.

8. Limitation of Liability
While we are fully dedicated to providing high-quality Services, to the maximum extent permitted by applicable Singapore law, Wisery shall not be liable to you for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services. Wisery’s total liability for any direct damages arising out of or related to this Agreement or the use of the Services shall not exceed the total amounts you have paid to Wisery under this Agreement during the three months immediately preceding the event giving rise to the claim.

These limitations apply regardless of whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damage.

9. Client Obligations
A successful coaching relationship depends on mutual commitment and collaboration. We value and respect your time and efforts invested in this journey. Your consistent attendance at each session along with a mindset geared towards self-improvement forms the bedrock of this relationship.

Wisery and Client acknowledge the importance of mutual respect and thoughtfulness within every aspect of the coaching journey, and towards all individuals involved. By cultivating a supportive and respectful atmosphere, the Client is better equipped to explore and fully harness the benefits of the coaching services for their personal and professional development. Each participant in this partnership is therefore called upon to uphold their commitment to this process, providing the foundation for a successful and impactful coaching experience. ​The Client understands that in order to enhance the coaching relationship, the Client agrees to communicate honestly, be open to feedback and assistance, and to create the time and energy to participate fully in the program.

Client acknowledges that coaching is a comprehensive process that may involve different areas of his or her life, including work, finances, health, relationships, education and recreation. The Client agrees that deciding how to handle these issues, incorporate coaching principles into those areas and implementing choices is exclusively the Client’s responsibility.

10. Non-Disparagement
Both parties agree not to make any statements, written or verbal, or cause or encourage others to make any statements, written or verbal, that defame, disparage or in any way criticise the personal or business reputation, practices, or conduct of the other party, its employees, directors, or officers. Parties acknowledge and agree that this prohibition extends to statements, written or verbal, made to anyone, including but not limited to, the news media, investors, potential investors, any board of directors or advisory board or directors, industry analysts, competitors, strategic partners, vendors, employees (past and present), clients, and on online platforms and social media.

11. Indemnification
As a client of Wisery, you agree to hold us harmless from and against all claims, liabilities, damages, and expenses (including reasonable legal fees and costs), whether directly or indirectly arising from your violation or breach of any terms of this Agreement. This indemnification extends to cover any consequences of such violations or breaches, including any resulting losses or damages that we might incur.

12. Force Majeure
We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under this Agreement that is caused by events outside our reasonable control (“Force Majeure Event”). A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes, in particular (without limitation), the following:
a. Strikes, lock-outs or other industrial action.
b. Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war.
c. Fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster.
d. Impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport.
e. Impossibility of the use of public or private telecommunications networks.
f. The acts, decrees, legislation, regulations or restrictions of any government.

Both parties agree to notify each other in writing as soon as practicable about a force majeure event, providing reasonable details, and to cooperate with each other to minimise the impact of such an event.

Our performance under this Agreement is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will use our reasonable endeavors to bring the Force Majeure Event to a close or to find a solution by which our obligations under this Agreement may be performed despite the Force Majeure Event.

13. Cancellation, Rescheduling, and Refund Policy
a. Cancellations and Refunds: ​

Package Plans: For cancellations of package plans, refunds are issued by deducting the regular session rate for any completed sessions from the total package price.

Single Sessions: If you cancel a single session that is not part of a package plan, refunds are issued by deducting a 25% administration fee.
b. Rescheduling: You may reschedule a session via our website up to two days before the scheduled time. If less than two days remain, rescheduling is not allowed. However, you can request an exception by contacting us directly at bookings@wisery.sg to arrange a new time.
c. No-shows: If you do not attend a session, the session will be considered as used and will not be available for rescheduling or refund.
d. Our Rights: We reserve the right to cancel or reschedule sessions due to unforeseen emergencies or unavailability. If a session within a package plan is canceled, clients may choose to reschedule or receive a session credit for future use. For single sessions, clients may opt to reschedule at no additional cost or receive a full refund.

14. Dispute Resolution
Parties commit to making a good faith effort to amicably and constructively resolve any disputes arising from or related to this Agreement. If a dispute arises out of this Agreement that cannot be resolved by mutual consent, the Client and Wisery agree to attempt to mediate in good faith for up to sixty (60) days. Should such efforts be unfruitful, the dispute will be subjected to binding arbitration in accordance with the prevailing rules and under the jurisdiction of Singapore law. The language of mediation and arbitration will be English.

15. Governing Law
This Agreement is subject to and shall be interpreted under the prevailing laws of the Republic of Singapore. Any actions, suits, proceedings, and disputes in relation to this Agreement shall be governed by such laws, regardless of your country of residence or location.

16. Amendments to Agreement
We reserve the right to modify this Agreement to accommodate changes in legal, technical, or business environments. These changes will be effective immediately upon their publication on our website. Your continued use of our Services post-modification implies your acceptance of the revised Agreement. If the modified terms are not acceptable to you, your only recourse is to cease usage of our Services.
17. Non-Solicitation
In the interest of protecting the operational stability of Wisery, you agree to refrain from directly or indirectly soliciting or attempting to induce any of our employees, contractors, or service providers to terminate their relationship with us. This obligation stands during the term of this Agreement and extends for a period of one year following its termination, starting from the date of the termination.

18. Term, Termination, and Renewal of the Agreement
This Agreement is effective upon your acceptance and remains valid until terminated by either party. We reserve the right to terminate this Agreement with immediate effect, without any obligation or liability to you, should there be any violation of the stipulated terms and conditions herein. Such termination shall not affect any rights, remedies, obligations or liabilities that have accrued up to the date of termination.
As a client, you also have the right to terminate this Agreement at any time, for any reason. Please note that, in accordance with our policies, we do not provide refunds for the remaining term of any plans upon your termination of the Agreement. In the event of a termination by the Client, the Client agrees to compensate Wisery for the Coaching Plans to which the Client is subscribed.
Subscriptions to coaching plans can be renewed or altered through our website. Each renewal or change will adhere to the terms and conditions in place at the time of said renewal or change.

19. Entire Agreement for Coaching Services
This Agreement, in combination with your chosen Coaching Plan, constitutes the entire understanding between you and Wisery concerning the provision of our Services. It supersedes any preceding or concurrent agreements, terms, or conditions relating to our Services. This Agreement does not affect or supersede any other agreements you may have with Wisery unrelated to the provision of coaching services.

20. Waiver
Any waiver of a provision of this Agreement will only be recognised as valid if it is documented in writing and signed by the party waiving its rights. This requirement ensures mutual understanding and formal acknowledgement of any amendments to the Agreement.

21. Assignment and Transfer
In instances of corporate restructuring such as mergers, acquisitions, or asset sales, we hold the right to transfer this Agreement to ensure continuity in delivering our Services. For you, as the Client, this Agreement is personal and therefore not transferable or assignable to another entity without our prior written consent. Any attempt to do so without such consent will be null and void. This clause is designed to maintain the standard, consistency, and personalisation of our Services.

22. Severability
If any provision of this Agreement is deemed unlawful, void, or unenforceable, such provision will be severed from this Agreement. This does not affect the validity or enforceability of the remaining provisions, which will remain in full force as though the unlawful, void, or unenforceable provision were not included.

23. Nature of Coaching Services
The objective of our coaching services is to foster personal and professional growth. It is important to note that these services are not a replacement for counselling, therapy, financial or legal advice, or any other mental health services. Should you require mental health support, financial, or legal advice, or if any medical condition arises or changes during the course of our coaching services, we strongly advise you to seek assistance from a licensed professional. We are not qualified to, and will not provide, medical, psychological, financial, or legal advice.

Client is solely responsible for creating and implementing his/her own physical, mental and emotional well-being, decisions, choices, actions and results arising out of or resulting from the coaching relationship and his/her coaching calls and interactions with Wisery. As such, the Client agrees that the Wisery is not and will not be liable or responsible for any actions or inaction, or for any direct or indirect result of any services provided by the Wisery.

24. Acceptance of Agreement
By subscribing to a Coaching Plan, you acknowledge that you have read and understood this Agreement. This indicates your acceptance and commitment to adhere to the stipulated terms and conditions.
